Welcome to Runwae. These Terms of Service ("Terms") govern your use of the Runwae platform, including our mobile application, website (runwae.io), and all related services (collectively, the "Platform"). By creating an account or using any part of the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
Runwae is operated by Runwae, Inc., a Delaware C-Corporation ("Runwae", "we", "us", or "our"). We are a travel technology and loyalty infrastructure platform — not a travel agency, airline, hotel, or experience provider.
1. Who These Terms Apply To
These Terms apply to all users of the Platform, including:
- Travelers — individuals who use Runwae to discover events, plan group trips, and book travel
- Event Hosts — organizers who create events and earn commissions on attendee travel bookings
- Experience Providers — businesses or individuals offering activities and experiences bookable via Runwae
- Accommodation Partners — hotels, guesthouses, and short-stay providers listed or bookable on the Platform
- Vendors — any third-party supplier of goods or services accessible via the Platform
- Admins — Runwae staff who manage the Platform
2. Eligibility
You must be at least 18 years old and capable of entering legally binding contracts to use the Platform. By using Runwae, you represent that you meet these requirements. Event Hosts and Partners must additionally agree to the applicable Partner Terms during onboarding.
3. Account Registration
To access most features, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Keep your login credentials confidential and not share them with others
- Notify us immediately at tech@runwae.io if you suspect unauthorized account access
- Be responsible for all activity that occurs under your account
Runwae reserves the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.
4. Platform Role — Runwae as Facilitator
Runwae is a marketplace and coordination platform. We connect travelers with events, hotels, flights, and experiences via third-party providers (including LiteAPI for hotels, Duffel for flights, and Viator for activities). We do not own, operate, or control any travel inventory.
When you book through Runwae, your contract for the underlying travel service is between you and the relevant third-party provider. Runwae is not a party to that contract, except where we act as a disclosed limited payment collection agent.
Runwae does not guarantee the quality, safety, or availability of any third-party travel service. We encourage you to review provider terms and policies independently.
5. Bookings, Payments & Cancellations
5.1 Booking Process
All bookings are subject to availability and provider confirmation. Runwae pre-authorizes but does not capture payment until a provider confirms a booking. In the event a provider cannot confirm, any authorization hold will be released.
5.2 Commissions
Event Hosts earn a commission on travel bookings made by attendees through their Runwae event link. Commissions are tracked against a unique event_id associated with each booking. Commission status follows the following lifecycle:
- PENDING — booking confirmed but travel date has not yet passed
- EARNED — travel date has passed and no dispute is open
- PAID — funds disbursed to the Host’s registered payout account
- REVERSED — booking was cancelled or refunded, commission voided
Runwae reserves the right to adjust commission rates at its discretion, with at least 14 days written notice to affected Hosts.
5.3 Refunds & Cancellations
Refund eligibility is governed by the applicable provider’s cancellation policy at the time of booking. Runwae will facilitate refund requests but cannot guarantee outcomes where the provider’s policy does not permit a refund. Platform service fees charged by Runwae are non-refundable unless a booking is cancelled due to Runwae’s error.
5.4 Group Payments
Runwae provides tools for group payment coordination, including split-pay and shared payment tracking. Runwae does not transfer funds between individual users for expense settlement purposes in our current product version — settlement records are informational only.
6. Runwae Miles (Rewards)
Runwae Miles are a loyalty reward currency issued by Runwae at its sole discretion. Miles have no cash value, are non-transferable except as explicitly permitted within the Platform, and may not be sold, bartered, or exchanged outside the Runwae ecosystem.
Runwae reserves the right to modify, suspend, or terminate the Miles program at any time, with reasonable notice. Accumulated Miles may expire if your account is inactive for 12 consecutive months.
7. Prohibited Conduct
You agree not to:
- Misrepresent your identity or affiliate with an event or organization you do not represent
- Manipulate, falsify, or abuse the commission or rewards system
- Use the Platform to facilitate fraudulent bookings or unauthorized charge-backs
- Scrape, copy, or reverse-engineer any part of the Platform
- Upload or transmit content that is unlawful, defamatory, or infringes intellectual property
- Interfere with Platform operations, security, or other users’ access
- Use the Platform for any purpose competitive with Runwae without prior written consent
8. Intellectual Property
All content, branding, software, design, and data on the Platform is the property of Runwae or its licensors. You are granted a limited, non-exclusive, revocable license to use the Platform for its intended purpose. Nothing in these Terms transfers ownership of any intellectual property to you.
9. Disclaimers & Limitation of Liability
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. RUNWAE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RUNWAE’S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) USD $100 OR (B) THE TOTAL FEES PAID BY YOU TO RUNWAE IN THE THREE MONTHS PRECEDING THE CLAIM.
RUNWAE IS NOT LIABLE FOR: (I) ANY ACTS OR OMISSIONS OF THIRD-PARTY TRAVEL PROVIDERS; (II) FORCE MAJEURE EVENTS INCLUDING NATURAL DISASTERS, GOVERNMENT ACTIONS, OR PANDEMICS; (III) INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.
10. Indemnification
You agree to defend, indemnify, and hold harmless Runwae and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including legal fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; or (c) your violation of any third-party rights.
11. Dispute Resolution & Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising from these Terms shall first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the American Arbitration Association (AAA) rules, conducted in Washington, D.C. Class action waivers apply to the extent permitted by law.
12. Changes to These Terms
Runwae may update these Terms at any time. We will notify you of material changes via email or in-app notification at least 14 days before they take effect. Continued use of the Platform after that date constitutes acceptance.
